Ranveer Singh Threatens Legal Action Over Don 3 Row, Warns IMPPA

The Don 3 row has taken a fresh turn after Ranveer Singh’s team responded to the Indian Motion Pictures Producers Association (IMPPA), maintaining that there is no formal agreement between the actor and Excel Entertainment, but only a Memorandum of Understanding (MoU). The development could have legal implications for Farhan Akhtar and producer Ritesh Sidhwani’s production house.

Ranveer’s team has also reportedly urged IMPPA to stay out of the dispute, arguing that the association has no jurisdiction. According to a Mid-Day report, the actor has threatened legal action if IMPPA proceeds with the matter. His father Jagjit Singh Bhavnani had earlier met IMPPA officials.

Can Ranveer Singh’s MoU be legally binding?

Ranveer’s claim raises an important question: does an MoU have legal force? Media and entertainment lawyer Sanjay Vasudevan of Bay Counsel LLP told Indian Express that the answer depends on the document’s exact terms.

“Without reviewing the actual MoU, together with any related correspondence and subsequent conduct of the parties, it would not be possible to make a final determination as to whether the MoU between Ranveer Singh and Excel Entertainment was legally binding. The absence of a separate long-form agreement is relevant, but it does not, by itself, mean that no enforceable contract existed,” Vasudevan explained.

He added that courts could examine whether the MoU uses mandatory language, whether it contains a “subject to contract” clause and whether key matters such as remuneration, dates, exclusivity and termination were settled.

What could the MoU mean for Don 3?

The parties’ conduct could also matter. Ranveer and Excel had publicly unveiled the Don 3 promo three years ago, with the actor taking on the iconic role. Excel Entertainment has also reportedly provided documents relating to pre-production expenses, the proposed outdoor schedule and its communication with Ranveer.

Vasudevan noted that a binding agreement could potentially lead to contractual remedies, including damages, although forcing an actor to provide personal artistic services would present “significant legal and practical difficulties”.

Ultimately, whether the MoU represents a concluded commitment or merely an arrangement pending a definitive agreement will depend on its wording and the surrounding circumstances.
