The supplementary agenda was introduced without my knowledge and/or consent, and keeping me completely in the dark. This is contrary to all past practice, whereby (they)...are pre-circulated, pre-discussed and pre-agreed between the two MDs.

...I am concerned that there appears to be more than meets the eye. The approach being adopted is not only contrary to all norms of corporate governance, but is also neither in good faith, nor in the spirit with which such matters have been dealt with in our company.... It is indeed a sorry state of affairs.

The agenda item had a misleading title...concerned with the formation of a Health, Safety and Environment Committee. The clubbing together of a very substantive proposal on redefinition of the powers of the MDs...obscured the real purpose of the agenda item.

...you have not conducted your own due-diligence, and/or had the courtesy of discussing these agenda items with me, or even informing me of the same, as to what were the previous resolutions, the proposed modifications, and the impact thereof.... So much for professionalism and ethics!

I have also been legally advised that the proposed redefinition of powers of the MDs is not in accordance with the law, and is in conflict with the provisions of the Companies Act, 1956, the Memorandum and Articles of Association of our company....

Regrettably, nearly three months...after my second e-mail to the CMD (Mukesh)...I have not received any acknowledgement, much less any response, from him to my aforesaide-mails.... It has been communicated to me...that the matter is final and cannot be altered.

miscommunication, and we discuss and mutually agree upon the forward path on this and other future issues, so that all our energies are used productively and constructively.

I have mentioned to you several times that I am not supportive of having additional agenda items on the board, unless and until they have my prior clearance. You have not followed this for yesterday’s board meeting....ensure that no additional agenda items are tabled unless they are of emergency nature.
